1. Acceptance of Terms
By accessing or using Agreezy (the “Service”), you agree to be bound by these Terms of Service (the “Terms”). If you do not agree, do not use the Service. Your use of the Service is also subject to our Privacy Policy.
2. Who We Are
The Service is operated by Agreezy LLC (“Agreezy,” “we,” “us,” or “our”).
3. Eligibility
You must be at least 18 years old and legally capable of entering into binding agreements to use the Service. By using Agreezy, you represent that you meet these requirements.
4. Description of Service
Agreezy provides a platform for creating and signing digital agreements between two or more parties. The Service allows users to create agreements, invite parties to sign, and maintain records of agreements for a specified period.
5. Not Legal Advice
Agreezy is not a law firm and does not provide legal advice. The Service is designed for general-purpose, everyday agreements. For real estate transactions, wills, estate planning, or complex business contracts, it is usually best to also consult a qualified attorney. We do not guarantee that agreements created using the Service will be legally enforceable in all jurisdictions.
6. Electronic Signatures & Records
By using the Service, you consent to conduct transactions electronically. You agree that electronic signatures and records created through the Service are legally binding to the fullest extent permitted by applicable law. We record signing events (such as signature, timestamp, and limited device information like browser and timezone) to help verify who signed and when.
7. User Responsibilities
- You must provide accurate information when creating or signing agreements.
- You are responsible for maintaining the confidentiality of your unique signing links and sharing them only with the intended recipient.
- You agree not to use the Service for any illegal, harmful, or unauthorized purpose.
- You are responsible for the accuracy, legality, and appropriateness of the agreements you create.
8. Signing Deadlines and Data Retention
Each agreement has a signing deadline selected by the creator (3–30 days). After the deadline, signing links become inactive and no new signatures are accepted. After the signing deadline, we may delete unsigned or incomplete agreements and related data from our systems. You are responsible for exporting or downloading agreements before the deadline if you wish to retain a copy.
9. Subscriptions & Payments
Certain features of the Service may require payment, including Pro subscriptions or one-time agreement unlocks. All payments are processed securely through our third-party payment provider, Stripe.
By purchasing a subscription, you authorize recurring billing to your selected payment method until you cancel. Subscription pricing, billing intervals, and included features are presented at checkout.
You are responsible for managing or canceling your subscription before your next billing cycle. Unless required by law, payments are non-refundable.
We reserve the right to modify pricing or features with reasonable notice. Continued use of paid features after such changes constitutes acceptance of the updated pricing.
10. Legal Validity
While Agreezy captures signatures and signing metadata for verification purposes, the legal enforceability of agreements created through the Service may vary by jurisdiction and by the subject matter of the agreement. Users are responsible for determining whether an agreement is appropriate for their circumstances and should consult professionals as needed.
11. Limitation of Liability
Agreezy is provided “as is” and “as available” without warranties of any kind, whether express or implied. To the maximum extent permitted by law, Agreezy LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the Service, including but not limited to disputes between parties, lost data, or unauthorized access to agreements.
12. Indemnification
You agree to indemnify and hold harmless Agreezy LLC, its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorney's fees) arising from agreements you create, your misuse of the Service, or your violation of these Terms.
13. Dispute Resolution & Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
The arbitration shall take place in the State of Washington, unless the parties agree otherwise. You and Agreezy LLC waive the right to a jury trial and agree that disputes will be resolved individually and not as part of a class, consolidated, or representative action.
Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction for intellectual property infringement or misuse of the Service.
14. Modifications
We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.
